Photography

Definitions:
(a) “Agreement” shall refer to the terms and conditions set out herein and any amendments mutually agreed by the parties thereto;
(b) “Bright Light Studios” or “BLS” shall refer to Bright Light Studios Photography and Design;
(c) “Client” shall refer to the individual(s) whose signature or authentication appears on the “Client’s Signature & Date” line at the bottom of this Agreement.
(d) An “Event” shall refer to the event information, location, date, and time agreed by the Parties as set out herein;
(e) “Force Majeure Event” shall refer to any unforeseen event the cause of which is beyond the reasonable control of the Parties. Force Majeure Events include (but are not limited to) acts of God, pandemics, natural disasters, death of loved ones, fires, wars, civil unrest, states of emergencies, and change of laws.
(f) “Parties” shall refer to the Client and Bright Light Studios, collectively.
(g) “Photographer” shall refer to the individual(s) whose signature or authentication appears on the “Photographer’s Signature & Date” line at the bottom of this Agreement.
The client shall at all times assist and cooperate with the Photographer in obtaining all desired photographs, watermarks. renderings and/or paintings, including but not limited to: (1) Client making him- or herself available to pose for photographs at Photographer’s direction; (2) Client making him- or herself available for pre-shoot consultation with Photographer at a time mutually agreed upon by Client and Photographer; (3) Client specifying to Photographer all persons and/or scenes to be photographed by Photographer; (4) Client designating and making available at all times a representative of Client to guide Photographer to all persons and/or scenes that Client wishes to have photographed. Photographer, Sameh Abdallah, Bright Light Studios, and its employees shall not be jointly or severably liable for any photographs not taken as a result of Client’s failure to at all times assist and cooperate with Photographer in obtaining all desired photographs.
Bright Light Studios and Sameh Abdallah hereby reserve all rights in all photographs, trademarks, watermarks, paintings, and renderings created, generated, or otherwise used by Sameh Abdallah, Bright Light Studios, and its employees. Bright Light Studios and Sameh Abdallah hereby grant Client non-exclusive rights to reproduce and/or otherwise use for non-commercial purposes all photographs for which Client has paid. All products and services owed under this contract by Sameh Abdallah, Bright Light Studios, and its employees to Client, including but not limited to editing, printing, shooting and/or generating or manipulating new or existing photographs, watermarks, paintings or renderings in any way, shall be satisfied upon receipt by Client of all photographers, watermarks, paintings and/or renderings purchased. Upon Client’s receipt of said photographs, watermarks, paintings, and/or renderings, a contractual performance by Sameh Abdallah, Bright Light Studios and its employees of all contractual duties therein shall be considered complete.
Illness & Availability: Should the agreed-upon photographer/photographers not be available for any reason, a replacement photographer shall be provided at “Bright Light Studios” choosing. If a replacement photographer cannot be provided by “Bright Light Studios”, a full refund shall be issued unless another date can be mutually agreed upon for rendering the agreed-upon service. A full refund shall not be issued if any photographer gets lost on his or her way to the event or if any foreseen or unforeseen circumstance, including but not limited to acts of God, makes performance under this contract impossible or impractical.
Equipment & Technology: Should the equipment or technology used by “Bright Light Studios” their employees or freelancers fail to work during the time of the event “Bright Light Studios” their employees or freelancers are not liable (compensation dependant on the severity of error). “Bright Light Studios” their employees and freelancers will do their best to make sure that everything is captured as requested however “Bright Light Studios” their employees or freelancers can not guarantee any photos, videos, or renderings.
Threats & Abuse: If at any time Sameh Abdallah, “Bright Light Studios” or any of their employees, freelancers or associates feel threatened or abused by any of the clients, guests or family members during the contracted event they hereby reserve the right to immediately leave the contracted event without any liability and no refunds or compensation shall be given to the contracted client or clients at any time.
Indemnification: Client shall defend, indemnify, hold harmless, and insure “Bright Light Studios”, Sameh Abdallah and all of their employee’s or freelancers from any and all damages expenses or liability resulting from or arising out of, any negligence or misconduct on Client’s part, or from any breach or default of this Agreement which is caused or occasioned by the acts of the client.
Creative License: The Client hereby understands and agrees that by signing this contract that they are giving “Bright Light Studios”, their employees, and freelancers Creative License. This means, but is not limited to how all photos are taken, edited and distributed. “Bright Light Studios”, their employees and freelancers will have full freedom to decide on all aspects of the photos without any liability of their own.
Storage/Archiving: Bright Light Studios is only required to retain, hold, save or store any RAW or processed photos taken for the client for a maximum period of 3 months after the date of the event. In no way is Bright Light Studios required to save any images for the client past the 3 month period.
Shared Rights & Usage: The client hereby agrees and understands that “Bright Light Studios” has shared rights to all work for the use of promoting the work that was done for the client. Promoting the work can include, but is not limited to social networking websites, applications, business websites, personal websites, and more. In no way will “Bright Light Studios” sell the client’s work without permission from the client. The client also retains rights for unlimited printing, sharing & distributing any work that was provided for them from “Bright Light Studios.” If the client wishes to have privacy from “Bright Light Studios” sharing their work, then the client may purchase “Full Rights” for an additional fee of $600.00 to any package that the client may have.
Cancelations/Refunds: The Client hereby understands that a full refund excluding the non-refundable retainer will only be provided to the client if the client cancels at least 2 months before the date of the event or wedding and only upon signing a refund/cancelation form that is provided by Bright Light Studios. No refunds shall be given if the client attempts to cancel any later than 2 months to the date of their event or wedding and if any payments are due and not paid by the client they shall be required to pay for any remaining payments in full within 10 days of canceling. If a free engagement photo shoot is provided by Bright Light Studios and the client attempts to cancel their wedding with Bright Light Studios they will automatically forfeit any retainers or payments made regardless of the amount of time before the cancelation they give. Bright Light Studios also reserves the right to cancel any wedding or event with the client if Bright Light Studios feels threatened or if they feel that the client has unrealistic expectations of Bright Light Studios and what they provide. If Bright Light Studios cancels their contracted event or wedding they will refund back to the client any retainers or payments made unless an engagement photo shoot has been performed. The client also hereby understands and agrees that under no circumstances will a full refund be given after the service or services has been rendered by “Bright Light Studios” their employees and freelancers.
Engagement Photo Shoots: All engagement photo shoots are free and complimentary when the client books a wedding photography package with Bright Light Studios. In no way is the client charged in their package for an engagement photo shoot. All engagement photo shoots must be done during the week (Monday through Thursday) and are a maximum length of 2 hours long. All engagement photo shoots are done at a singular location that is a maximum distance that is up to 5 miles from the location of Bright Light Studios. If the client is not able to schedule the engagement photo shoot before the date of their wedding then Bright Light Studios is not required to provide the client with a photo shoot after the wedding and the client forfeits the free photo shoot. If the client should cancel the contracted services of Bright Light Studios then the original cost of the photoshoot ($1,000.00) will be either charged to the client or be deducted from the retainer and payments the client has already paid.
Bookings/Retainers/Payments:
The Client shall pay the Total Price as follows:
(a) Fifty percent (50%) shall be due immediately and unconditionally upon executing this Agreement (“Retainer Fee”).
(b) Twenty Five percent (25%) shall be due one (1) month before the Event Date; and
(c) The balance of twenty five percent (25%) shall be due two (2) weeks of the Event Date.
All payments made to BLS are non-refundable unless otherwise provided herein.
The Retainer Fee is irrevocable, unconditionally owed, non-transferable, and non-refundable under any circumstance, including but not limited to:
(a) cancellation of the Event;
(b) rescheduling of the Event Date;
(c) termination, cancellation, or voidance of this Agreement; and / or
(d) any Force Majeure Event that may arise as set out below.
14. Engagement Photo Shoots:
Reviews/Recommendations: Bright Light Studios loves when their clients are happy and want to express it with reviews online and recommendations to friends & family. Bright Light Studios encourages positive reviews and feedback. If the client is not satisfied with the work that Bright Light Studios has done Bright Light Studios allows the client the ability to directly speak with them to try and resolve the matter before writing an honest review. Any reviews that are shared anywhere that are found to be dishonest or inflammatory shall be removed and the client shall be held liable for any false allegations they publicly present.
Drone/GoPro Usage: Bright Light Studios does not charge for drone or GoPro usage. If you choose a premium package we simply make sure to bring both items with us and make an attempt to use them. If you pick a budget range package we do not bring either items at all. In no way does Bright Light Studios guarantee the use of the drone or GoPro. Usage of the drone or GoPro depends on the weather, location (drones can not fly close to an airport or when special events are happening), and time constraint (if there is no time given to fly the drone we can not fly the drone. Drone & GoPro usage can not be substituted for another item in the package or a reduction of cost in the package.
Albums/Prints: The client hereby understands and agrees that if an album is purchased from “Bright Light Studios” that they must provide “Bright Light Studios” with their requested photos for the album no later than a period of 2 weeks from the date of purchase. If the album is included in the package they have purchased they are required to provide “Bright Light Studios” with the requested photos no later than 2 weeks after receiving their photo proofs. If the client does not provide “Bright Light Studios” with their requested photos for the album after a period of 2 weeks then “Bright Light Studios” shall fully design the album with their own chosen photos and the client waives their right to choose their photos for the album. If the client should also fail to reply to the design of the album after a period of 1 month of receiving the album proof then the client forfeits the entire payment of their album and must pay in full for a new album and design. If the client should purchase a print from “Bright Light Studios” all decisions on the print should be made no later then 2 weeks after receiving the proofs of the print or prints. All payments of albums and prints must be paid in full prior to “Bright Light Studios” working on anything. The client shall be given an online review of their album for proofing purposes. If the client approves the review and then later finds further mistakes the client herby understands that they must pay the full cost again for another revised album.
Editing & Finalizing: The client hereby understands and agrees that “Bright Light Studios” will do basic color correction, lighting adjustments and straightening of images, any beauty editing that is included in the client’s package will have to be requested to specific images by the client within 7 days of delivery. “Bright Light Studios” will do all basic editing mentioned earlier and does not offer re-works or re-edits of any photos without charging $150.00 per set of 10 photos for requested editing. The client will need to request any edits within 7 days of receiving the finalized photos, after 7 days the client will not be able to request any changes to their photos.
Force Majeure. If a Force Majeure Event occurs, the following provisions shall apply:
The Parties shall not be liable or considered to be in breach or default of their obligations to the extent that the performance of such obligations is delayed or prevented, directly or indirectly, by unforeseen events that are beyond their reasonable control (hereinafter “Force Majeure Events”).
Force Majeure Events shall include but are not limited to:
(a) the COVID-19 pandemic or any other pandemic, epidemic, or infectious disease outbreak;
(b) fire, severe weather conditions, or earthquakes;
(c) acts or omissions of governmental authorities;
(d) quarantines;
(e) local, state, regional, or national emergencies;
(f) strikes or other labor disturbances;
(g) war (declared or undeclared), armed conflict, acts or threats of terrorism; and
(h) civil unrest or riots.
If a Force Majeure Event occurs, then:
(a) the terms of this Agreement shall remain in force and binding unless otherwise agreed;
(b) the Party relying on the Force Majeure Event shall:
(i) notify the other Party in writing within five (5) business days following the Force Majeure Event and describe the circumstances giving rise to their non-performance; and
(ii) make all reasonable efforts to mitigate the effect of the Force Majeure Event on the other Party; and
(c) BLS shall:
(i) be entitled to the Retainer Fee. Any claim for a refund in respect of any additional amounts paid or owed shall be subject to the terms of this Agreement; and
(ii) have the exclusive option to reschedule the Event Date and / or offer non-monetary compensation as it deems appropriate.
The Parties hereby waive their right to relief under the legal and / or equitable doctrines of force majeure, impracticability, impossibility, and frustration of purpose.
Covid-19 Specific Guidelines: Should the “Client” or any guest contract or become sick with Covid-19 and it has been made aware to “Bright Light Studios”, “Bright Light Studios” reserves the right to cancel their contract with the “Client” so that they do not risk contracting the virus. If “Bright Light Studios” decides to cancel their contract with the “client” due to the “client” or a guest being infected with Covid-19 “Bright Light Studios” reserves the right to the full retainer and 2nd payment. The 3rd or “Final Payment” will be returned to the “Client” (25% of the total cost). If “Bright Light Studios” their associates or freelancers contract an illness or Covid-19 a replacement photographer shall be provided to the “Client”. If a replacement photographer can not be provided to the “client” then a 75% refund shall be provided to the “Client”
Should the Client be dissatisfied with any service or product rendered by Sameh Abdallah, “Bright Light Studios” and/or its employees, non-monetary compensation in the form of a service or product shall be offered by “Bright Light Studios” (Service or product will only be decided on by Sameh Abdallah) but only upon showing by Client of a verifiable defect or mistake in the product or service rendered. In very rare instances of proven fault of “Bright Light Studios” or their freelancers/employees will “Bright Light Studios” offer a maximum refund of 10% of the total price paid for the specific service rendered. Specific Instances for the 10% refund shall be known as the following: Not showing up to the contracted event on time by “Bright Light Studios” or their freelancers and accidental loss in photos or video footage due to technical errors. Under no circumstances will a full Refund be given or offered to the client at any time. The Client waives his or her right to take all legal action against Sameh Abdallah, “Bright Light Studios,” and its employees upon Client’s acceptance of the non-monetary compensation offered by “Bright Light Studios” as well as agree to not defame or insult “Bright Light Studios” with any negative reviews on any review platform or social networking. The client shall only have a period of 2 weeks after the date the final product is delivered to request any changes if there is any fault of “Bright Light Studios”. After the period of 2 weeks from the date of delivery of the final product “Bright Light Studios” shall no longer be required to perform any further work for the client and any further requested work will result in a new contract and payment from the client. Bright Light Studios shall only retain all RAW photos, footage, or designs for a period of 3 months from the date of the contract and is not required to store or save any of the client’s photos past 1 year of the contracted event.
The client also agrees that “Bright Light Studios” has done its job in presenting the client with proper examples of photography and that the client hereby fully understands what they are purchasing and that “Bright Light Studios” will not be held liable for any confusion or misunderstandings. An updated version of the terms and conditions could be found online on the “Bright Light Studios” website (https://www.blstudios.net/termsandconditions). On occasion “Bright Light Studios” might find the need to update their terms & conditions based on new happenings or updates. The updates to the terms & conditions will be done in a broad spectrum and will not affect any client’s agreed-upon package contents only the terms & conditions portion. By signing below the client agrees to all the terms and conditions stated above and is agreeing to work with “Bright Light Studios”
VIDEOGRAPHY

The client shall at all times assist and cooperate with the Videographer in obtaining all desired videos, photographs, watermarks. renderings and/or paintings, including but not limited to: (1) Client making him- or herself available to pose for a videographer at videographer’s direction; (2) Client making him- or herself available for pre-shoot consultation with a videographer at a time mutually agreed upon by Client and videographer; (3) Client specifying to videographer all persons and/or scenes to be recorded by videographer; (4) Client designating and making available at all times a representative of Client to guide videographer to all persons and/or scenes that Client wishes to have recorded. Videographer, Sameh Abdallah, “Bright Light Studios” and its employees or freelancers shall not be jointly or severably liable for any videos not taken as a result of Client’s failure to at all times assist and cooperate with the videographer in obtaining all desired recordings.
“Bright Light Studios” and Sameh Abdallah hereby reserve all rights in all videos, photographs, trademarks, watermarks, paintings, and renderings created, generated, or otherwise used by Sameh Abdallah, “Bright Light Studios” and its employees. “Bright Light Studios” and Sameh Abdallah hereby grant Client non-exclusive rights to reproduce and/or otherwise use for non-commercial purposes all videos & photographs for which Client has paid. Completion Time: The average amount of time it takes to complete the highlight & full-length videos is roughly 15-20 weeks from the date of the wedding, however during our peak wedding season it may take much longer to complete. If required Bright Light Studios is able to take up to 25-30 weeks from the date of the wedding in order to complete the videos.
Editing/ Editing Style: “Bright Light Studios” shall give the client two options for the editing of the wedding video that must be decided on before the recording of the wedding video. Cinema-Blend is one option that the client shall have in choosing which is a type of full/final wedding video that will last a minimum of 30 minutes and a maximum of 2 hours (depending on the wedding’s length). The editing of Cinema-Blend will not be that of a storytelling format and if chosen by the client hereby understands and agrees with that at times camera movement, camera shake, and undesirable footage/sound may be used in order to properly showcase this editing style and that once chosen another style can not be substituted for it. Cinematography is the other option that can be chosen by the client and is a full storytelling type of editing. The minimum length of a cinematography-style video is 15 minutes and the maximum length is 30 minutes (depending on the length spent recording). Not everything will be shown in full if the Cinematography style is chosen and the footage that is shown will be decided by “Bright Light Studios” and their employees or freelancers. The client is NOT provided with any revisions included in any package chosen. Any requested revisions are subject to a $200.00 charge per set (5 changes) of revisions. You also understand that you have 7 days from the date you receive the email containing the link to your full-length or highlight video to get back to us with any changes that you would like done to your video. After 7 days we automatically delete the RAW footage and can not do any further editing on your videos. All highlight Videos do not include any revisions as well and will be charged $200.00 per set of revisions.
Event Videography: Event videography will fall under anything that is designated in the contract as an “event coverage” and does not relate to wedding coverage or any other type of videography service. Event videos are edited in what is called a “straight-cut” style, which means that the video itself is minimally edited or not edited at all. The full video will simply showcase the happenings of the day as we record it. No footage is guaranteed. We will do our best to capture everything as it happens but can not promise recordings or editing in any way. There are also no revisions provided to any event style videos without an additional cost.
Storage/Archiving: Bright Light Studios is only required to retain, hold, save or store any RAW or un-processed videos taken for the client for a maximum period of 3 months after the date of the event. In no way is Bright Light Studios required to save any RAW videos for the client past the 3-month period. The client shall also have online access to their finished videos on our Vimeo page for a maximum length of 1 year after the date of the wedding.
Music/Sound: Bright Light Studios is required by law to use only licensed music for the client’s videos. That means that the client can not request specific songs unless the license is available from the music licensing website that Bright Light Studios is using. The client is allowed to let Bright Light Studios know they feel they would like for their video and give samples of music they like only as the inspiration for Bright Light Studios to pick the songs. If the client is dissatisfied with the music choice by Bright Light Studios the client can request a change in music for an additional $199.99 per change. The change in music must come from the current licensing website that “Bright Light Studios” uses.

No refunds shall be given if the client attempts to cancel any later than 2 months to the date of their event or wedding and if any payments are due and not paid by the client they shall be required to pay for any remainder payments in full within 10 days of cancelling. If a free engagement photo shoot is provided by Bright Light Studios and the client attempts to cancel their wedding with Bright Light Studios they will automatically forfeit any retainers or payments made regardless of the amount of time before the cancelation they give. Bright Light Studios also reserves the right to cancel any wedding or event with the client if Bright Light Studios feels threatened or if they feel that the client has unrealistic expectations of Bright Light Studios and what they provide. If Bright Light Studios cancels their contracted event or wedding they will refund back to the client any retainers made unless an engagement photo shoot has been preformed. The client also herby understands and agrees that under no circumstances will a full refund be given after the service or services has been rendered by “Bright Light Studios” their employees and freelancers.

If the Client should cancel the contracted services of Bright Light Studios then the original cost of the photoshoot ($1000.00) will be either charged to the Client or be deducted from the retainer and payments the Client has already paid.

If the client is not satisfied with the work that Bright Light Studios has done Bright Light Studios allows the client the ability to directly speak with them to try and resolve the matter before writing an honest review. Any reviews that are shared anywhere that are found to be dishonest or inflammatory shall be removed and the client shall be held liable for any false allegations they publicly present.
Drone/GoPro Usage: Bright Light Studios does not charge for drone or GoPro usage. If you choose a premium package we simply make sure to bring both items with us and make an attempt to use them. If you pick a budget range package we do not bring either item at all. In no way does Bright Light Studios guarantee the use of the drone or GoPro. Usage of the drone or GoPro depends on the weather, location (drones can not fly close to an airport or when special events are happening), and time constraints (if there is no time given to fly the drone we can not fly the drone. Drone & GoPro usage can not be substituted for another item in the package or a reduction of cost in the package.
Threats & Abuse: If at any time Sameh Abdallah, “Bright Light Studios” or any of their employees, freelancers or associates feel threatened or abused by any of the clients, guests or family members during the contracted event they hereby reserve the right to immediately leave the contracted event without any liability and no refunds or compensation shall be given to the contracted client or clients at any time.
Indemnification: Client shall defend, indemnify, hold harmless, and insure “Bright Light Studios”, Sameh Abdallah and all of their employee’s or freelancers from any and all damages expenses or liability resulting from or arising out of, any negligence or misconduct on Client’s part, or from any breach or default of this Agreement which is caused or occasioned by the acts of the client.
Force Majeure. If a Force Majeure Event occurs, the following provisions shall apply:
The Parties shall not be liable or considered to be in breach or default of their obligations to the extent that the performance of such obligations is delayed or prevented, directly or indirectly, by unforeseen events that are beyond their reasonable control (hereinafter “Force Majeure Events”).
Force Majeure Events shall include but are not limited to:
(a) the COVID-19 pandemic or any other pandemic, epidemic, or infectious disease outbreak;
(b) fire, severe weather conditions, or earthquakes;
(c) acts or omissions of governmental authorities;
(d) quarantines;
(e) local, state, regional, or national emergencies;
(f) strikes or other labor disturbances;
(g) war (declared or undeclared), armed conflict, acts or threats of terrorism; and
(h) civil unrest or riots.
If a Force Majeure Event occurs, then:
(a) the terms of this Agreement shall remain in force and binding unless otherwise agreed;
(b) the Party relying on the Force Majeure Event shall:
(i) notify the other Party in writing within five (5) business days following the Force Majeure Event and describe the circumstances giving rise to their non-performance; and
(ii) make all reasonable efforts to mitigate the effect of the Force Majeure Event on the other Party; and
(c) BLS shall:
(i) be entitled to the Retainer Fee. Any claim for a refund in respect of any additional amounts paid or owed shall be subject to the terms of this Agreement; and
(ii) have the exclusive option to reschedule the Event Date and / or offer non-monetary compensation as it deems appropriate.
The Parties hereby waive their right to relief under the legal and / or equitable doctrines of force majeure, impracticability, impossibility, and frustration of purpose.
Should the Client be dissatisfied with any service or product rendered by Sameh Abdallah, “Bright Light Studios” and/or its employees, non-monetary compensation in the form of a service or product shall be offered by “Bright Light Studios” (Service or product will only be decided on by Sameh Abdallah) but only upon showing by Client of a verifiable defect or mistake in the product or service rendered. In very rare instances of proven fault of “Bright Light Studios” or their freelancers/employees will “Bright Light Studios” offer a maximum refund of 10% of the total price paid for the specific service rendered. Specific Instances for the 10% refund shall be known as the following: Not showing up to the contracted event on time by “Bright Light Studios” or their freelancers and accidental loss in photos or video footage due to technical errors. Under no circumstances will a full Refund be given or offered to the client at any time. The Client waives his or her right to take all legal action against Sameh Abdallah, “Bright Light Studios,” and its employees upon Client’s acceptance of the non-monetary compensation offered by “Bright Light Studios.” as well as agree to not defame or insult “Bright Light Studios” with any negative reviews on any review platform or social networking. The client shall only have a period of 2 weeks after the date the final product is shipped to request any changes if there is any fault of “Bright Light Studios”. After the period of 2 weeks from the date of shipping of the final product “Bright Light Studios” shall no longer be required to perform any further work for the client and any further requested work will result in a new contract and payment from the client. Bright Light Studios shall only retain all RAW photos, footage, or designs for a period of 3 months from the date of the contract and is not required in any way to store or retain any photos or videos for the client any time after their products have been delivered.
The client also agrees that “Bright Light Studios” has done its job in presenting the client with proper examples and footage and that the client hereby fully understands what they are purchasing and that “Bright Light Studios” will not be held liable for any confusion or misunderstandings. An updated version of the terms and conditions could be found online on the “Bright Light Studios” website (https://www.blstudios.net/termsandconditions). On occasion “Bright Light Studios” might find the need to update their terms & conditions based on new happenings or updates. The updates to the terms & conditions will be done in a broad spectrum and will not affect any client’s agreed-upon package contents only the terms & conditions portion. By signing below the client agrees to all the terms and conditions stated above and is agreeing to work with “Bright Light Studios”
